The Registration Process
The company registration process in Zimbabwe typically follows these steps:
- Name Search & Reservation — Reserve your company name with the Registrar of Companies (valid for 30 days)
- Prepare Documents — Draft your CR14, CR6, and either a Memorandum/Articles of Association or a Company Constitution
- File with the Registrar — Submit all documents to the Companies Registry at the Deeds Office
- Pay Registration Fees — Government fees range from USD 100 to USD 150
- Receive Certificate of Incorporation — Once approved, you receive your company’s certificate
- Register for Tax — Register with ZIMRA for tax obligations including income tax, VAT (if applicable), and PAYE
Types of Companies in Zimbabwe
The Companies and Other Business Entities Act provides for several types of business entities:
- Private Limited Company (Pvt Ltd) — The most common type, limited to 50 shareholders, shares not offered to the public
- Public Limited Company (PLC) — Can offer shares to the public and list on the Zimbabwe Stock Exchange
- Private Business Corporation (PBC) — A simplified structure for small businesses with 1-20 members

Post-Registration Requirements
After registering your company, you must also:
- Open a corporate bank account with a licensed Zimbabwean bank

- Register for NSSA (National Social Security Authority) contributions
