Official Directors & Secretary particulars form for company registration

What Is the CR14 Form?

The CR14 form is the official Zimbabwe Registrar of Companies document used to register the particulars of Directors and the Company Secretary. It is one of the mandatory forms required when incorporating a new private or public company in Zimbabwe under the Companies and Other Business Entities Act [Chapter 24:31].

Every company registered in Zimbabwe must file a CR14 at incorporation and whenever there is a change in directors or secretary. Failure to file updated CR14 forms within 14 days of any change is an offence that can attract penalties.

Key Fact: The CR14 is sometimes referred to as the "Directors Form" or "Form 14." It is filed alongside the CR6 form (registered office address), the Memorandum of Association, and the Articles of Association when registering a company.

Who Needs a CR14 Form?

  • New company registrations — Every company must submit a CR14 at incorporation
  • Director appointments or resignations — A new CR14 must be filed within 14 days
  • Change of company secretary — Updated CR14 required
  • Annual returns — The CR14 details must match your annual return filing

How to Fill In the CR14 Form — Step by Step

Step 1: Company Details

At the top of the form, enter the proposed company name (for new registrations) or the existing company name and registration number (for changes). If you have not yet reserved a name, you must first complete a name reservation at the Companies Registry.

Step 2: Directors' Particulars

For each director, fill in all fields accurately. Use full legal names as they appear on official identification documents. Zimbabwe private companies need a minimum of one director, while public companies require at least two directors. There is no maximum limit set by law for private companies.

Important: Directors who are not Zimbabwe residents must provide a passport number instead of a national ID. Foreign directors are permitted, but at least one director should have a Zimbabwe residential address or appoint a local agent.

Step 3: Secretary Particulars

Every company must have a company secretary. For a private company, the secretary can also be a director. For public companies, the secretary must be a person who holds qualifications prescribed by the Act (typically a legal practitioner, accountant, or company secretary by profession).

Step 4: Signatures and Consent

Each director and the secretary must sign the form personally. This serves as their consent to act in the capacity stated. If a director is abroad, they can sign and have the document notarised, or grant a Power of Attorney to someone in Zimbabwe to sign on their behalf.

Step 5: Submission

Submit the completed CR14 to the Registrar of Companies at:

  • Physical: Mukwati Building, corner Fourth Street & Livingstone Avenue, Harare
  • Online: registry.co.zw (online filing portal)
  • Bulawayo: CABS Centre, 8th Avenue, Bulawayo
